Sale deed drafting for Tamil Nadu property
Before you sign, check the seller’s authority, the exact property described and what happens to payment, possession and originals.
Tell us whether you need a new draft or a review of the other side’s version. We identify gaps in the record and agreed terms before preparing or commenting on the instrument; a full title opinion is separately scoped.

A deed, read as a transaction
Four details that must agree.
A useful review connects the clauses, records and handover.

- The property conveyedSchedule · extent · boundaries · access
- 03

Start before the draft becomes final
A sound deed begins with a clear transaction.
A standard form cannot decide whether the seller has a transferable interest, whether a bank holds the originals or whether the promised access belongs to the property. These issues need to be raised before they are turned into recitals.
Under Section 54 of the Transfer of Property Act, an agreement to sell does not itself create an interest in the property. The agreement sets the terms for the intended sale; the conveyance and legally required registration carry a different function.
Choose the scope you need.
- Draft a new sale deed.
Prepare a deed from the supporting record and settled commercial terms, with the property-specific questions resolved or clearly identified.
- Review the other side’s draft.
Assess the seller’s, buyer’s, lender’s or document writer’s draft. Explain changes that affect rights, payments, handover and responsibility for defects.
- Assess title before drafting.
A separate title review can be scoped where the chain, succession, encumbrances or authority require investigation. Reviewing a draft’s language is not the same engagement as verifying the title.
- Prepare connected property instruments.
Assess sale agreements, releases, settlements, rectification instruments and powers of attorney according to the intended transaction and the interests already held.
Three checks before signing
Registration should follow a resolved record.
A registered instrument is important evidence of a transaction. It does not guarantee that the seller owned the interest described or that every obligation has been performed.
Can this seller convey it?
Trace the seller’s acquisition and present authority. Check co-owners, inherited interests, retained life rights, company approvals and any representative’s power.
Does the schedule describe it?
Compare the registered history with the actual parcel or unit, survey references, boundaries, access and the interest being transferred. Resolve differences before copying them forward.
Will completion deliver it?
Align payment, lender release, execution, registration, possession and originals. A recital saying “received” or “delivered” must match what is actually happening.
Inside the deed
The clauses that carry the transaction.
Good drafting makes the parties’ obligations clear and exposes unresolved questions. It should not conceal a title problem behind a broad assurance.
Parties and authority
Identify every seller and buyer accurately. Connect a representative, company signatory or power-of-attorney holder to the authority for this transaction. A relative’s involvement is not a substitute for an owner’s execution.
Source and extent of title
Explain how the seller acquired the interest now being conveyed. Reconcile parent deeds, succession, partition, releases and retained rights. Do not describe an undivided share as ownership of a separately bounded plot without a proper basis.
The property schedule
Identify the village or urban location, survey and subdivision references, extent, boundaries, access and rights included. For an apartment, address the unit, undivided land share and relevant common rights consistently with the underlying documents.
Price and payment
State the agreed consideration, payments actually made, payment method and the balance or conditions still outstanding. Avoid acknowledging full receipt when payment remains contingent. Coordinate lender disbursement and any required deductions.
Mortgage and other burdens
Address existing loans, charges, claims, tenancies, restrictions and disclosed proceedings. Define release evidence, lender payments, custody of originals and responsibility for clearing the identified burden.
Possession and handover
Specify when possession passes, whether it is vacant or subject to an identified occupation, and what keys, records and originals are delivered. Avoid a standard vacant-possession recital when a tenant or other occupant remains.
Assurances and remedies
Draft title assurances, disclosure obligations, indemnity and further-assurance provisions around the actual risk. Identify who must remedy a defect or cooperate later. Contractual protection does not replace due diligence.
Completion and later cooperation
Allocate official charges, agreed arrears, document delivery and assistance for record changes. Resolve the relationship between registration, payment and possession rather than leaving three different completion dates unexplained.
Problems worth finding early
Some drafting instructions need a prior decision.
The following hypothetical examples highlight issues to resolve before signing. Advice depends on the documents and the property.
One heir proposes to sign for everyone.
Establish each interest and who must execute. A legal heir certificate, family consent letter or custody of the parent deed may not confer authority to convey the whole property.
The originals are still with a bank.
Plan the outstanding balance, discharge, payment route and release of documents. Do not acknowledge an unencumbered transfer without an agreed method of clearing the identified mortgage.
The ground and the deeds differ.
Reconcile extent, subdivisions and boundaries with appropriate records and survey assistance. A patta or survey record issue may need a separate remedy; decide whether rectification or a title resolution is needed before promising a specific parcel.
Vacant possession is promised later.
Identify who occupies the property, the basis of occupation, the handover date and the consequences of delay. Registration and physical handover may require separate, express arrangements.
How we prepare and review the deed
From instructions to a document ready for execution.
Agree who the firm represents, what verification is included and whether the work extends to negotiation or registration assistance. Where several parties are involved, confirm whom the firm represents and who may approve changes to the draft.
The draft should circulate early enough for unresolved terms to be addressed. A booked appointment is not a reason to sign a materially inaccurate recital.
Set the scope and collect the record.
Identify buyer or seller instructions, property type, transaction value, any lender, the proposed timeline and the documents available. Complete conflict checks and agree any title investigation required before drafting.
You receive the agreed scope and a list of documents required.Resolve the parties, property and terms.
Check the title information supplied, the seller’s authority, schedule consistency, payment plan, burdens and handover. Raise missing evidence and terms that need the other side’s agreement.
We identify unresolved terms and confirm the instructions for drafting.Prepare and explain the draft.
Draft or revise the clauses and schedules. Explain changes affecting risk, preserve an identifiable version and record decisions on proposed amendments.
You receive the draft or proposed amendments, with any decisions still required explained.Check readiness for execution and registration.
Confirm the approved version, signatories, authority, identity and presentation requirements, current official charges and the sequence for payment, lender release and possession.
You receive the agreed draft and the execution steps covered by the engagement.Close the remaining obligations.
Where instructed, compare the registered copy, record document and possession handover, and identify applications or cooperation still required after registration.
We record the completed steps and explain any obligations still outstanding.
Prepare for the first review
Bring the record behind the proposed sale.
Send complete, legible copies with schedules and endorsements. Tell us which originals are available and which are with a lender, relative or other person.
- Title and encumbrances.
Current title deed, relevant parent deeds, earlier partition or release instruments, wills or succession material where relied on, encumbrance records and existing loan or charge information.
- Property identification.
Survey and subdivision numbers, patta or applicable urban records, survey plan or field material, extent, boundaries, access and current tax information. Add planning and building records where relevant.
- Apartment or developed property details.
Unit identification, undivided land share, underlying agreements, common rights, parking terms and applicable approvals or association information. Do not assume a generic land schedule covers these interests.
- People and authority.
Party identity details, ownership shares, relevant family records, company or entity authorisations, the full power of attorney and any limits on a representative’s authority.
- The commercial bargain.
Sale agreement, proposed draft, payments and receipts, balance funding, lender instructions, possession date, included fixtures, arrears allocation and any promises made in correspondence.
Use the instrument that fits
Sale, release, partition or settlement?
The name of the document should follow the legal relationship and intended result. It should not be chosen first and used to force the facts into a cheaper or familiar form.
Where a family property interest is disputed, resolve the ownership question before drafting as though every party’s share were settled.
Sale deed
A transfer for a price, with the seller’s interest, property schedule, consideration and completion terms properly identified.
Release
An instrument releasing an existing interest in the appropriate legal setting. The parties’ pre-existing rights and the instrument’s substance need examination.
Partition
A division of joint interests that should address allocation, access, common facilities and implementation, alongside the interests of all necessary parties.
Settlement
An instrument whose operative terms, retained rights, conditions and legal effect must match the transfer intended. It is not a universal substitute for a sale.
Rectification
A possible route for an appropriate error in an existing instrument. It cannot safely be used to bypass a substantive ownership dispute or manufacture a missing right.
NRI, OCI and remote transactions
Define the authority before someone signs for you.
Remote drafting can reduce unnecessary travel. The local representative’s authority, the overseas execution requirements and the money trail still need to be planned for the actual transaction.
The power of attorney must authorise the proposed acts.
Specify the property and permitted acts: negotiating within approved terms, signing, presentation, admitting execution, receiving consideration or handing over possession as appropriate. Review the agent’s limits, the principal’s title, validity and any restrictions before relying on the document.
A power of attorney does not itself transfer ownership. Nor should a general family authorisation be assumed sufficient for every registration act. Authentication, Indian stamping, presentation and registration requirements depend on the instrument and where and how it is executed. See our property power of attorney guide for that distinct drafting and execution decision.
For an overseas seller or buyer, residence and citizenship, the property category, remittance and banking arrangements, tax withholding and reporting can require separate advice. Coordinate these with the appropriate tax and banking professionals before finalising payment recitals. We do not apply a single tax rate or eligibility assumption to every NRI or OCI matter.
Costs and readiness
Separate professional work from official charges.
A drafting fee covers the agreed professional scope. Title investigation, negotiation, extensive revisions, authority documents, lender coordination, registration assistance and later rectification may require different work. Ask for the accepted scope and exclusions in writing.
Stamp duty, registration fees and other official costs depend on the instrument, value, property and current Tamil Nadu rules, including any applicable concession. Verify the current calculation through the Registration Department before execution and confirm the amount applicable to your transaction before committing funds.
Readiness depends on complete records, resolved terms, signatory availability, lender requirements and applicable procedure. Execution and presentation deadlines must be checked for the instrument, particularly where signing occurs overseas. Do not sign an incomplete or inaccurate deed merely to meet a planned appointment.
Before the signing appointment
Questions about the draft, the cost and completion.
Use these answers to identify what needs to be checked. The final advice and drafting should follow the particular title and transaction.
01What is the difference between a sale agreement and a sale deed?
A sale agreement records the terms on which a future sale is to take place. It does not, by itself, create an interest in the property under Section 54 of the Transfer of Property Act. A sale deed is the conveyance used to transfer the seller’s interest through the legally required execution and registration process. The agreement, payment plan and final deed should be consistent.
02Can you review a sale deed prepared by the seller or a document writer?
Yes, a review can be scoped around the proposed deed, supporting title records and commercial terms. We identify unclear rights, inconsistent schedules, unsupported assurances and completion risks. Reviewing the wording alone is different from a full title investigation, so the extent of document verification must be agreed before the review is relied on.
03Does registering a sale deed guarantee clear title?
No. Registration does not establish that the seller owned every interest described in the deed or cure a defective title chain. Seller authority, prior transfers, encumbrances, succession, possession and applicable restrictions still need examination. An indemnity can allocate risk between parties; it cannot give the seller a title the seller never had.
04Which documents are needed to draft a sale deed in Coimbatore?
The starting set usually includes the seller’s title deed and parent documents, an encumbrance certificate for the appropriate period, property identification and survey records, party identity details, the agreement and payment terms. Add succession, partition, company authority, mortgage, apartment or power-of-attorney documents where relevant. The required set follows the property and seller’s source of title.
05What if the survey number, extent or boundaries do not match?
Do not carry an unexplained discrepancy into the final deed. Compare the parent schedule, current deed, revenue or urban record, subdivision information and survey material. Determine whether the issue calls for clarification, a proper rectification instrument, survey work or a more substantial title resolution. A drafting change alone cannot safely resolve a disputed boundary or ownership shortfall.
06Can a power of attorney be used to execute a sale deed?
It may be possible where the authority is valid, sufficient for the specific transaction and accepted under the applicable execution, authentication and registration requirements. We examine what the agent may sign, present, admit, receive and hand over, as well as the principal’s title and the continuing validity of the authority. A power of attorney itself does not convey ownership.
07Can you help an NRI or OCI owner selling property in Tamil Nadu?
We can assess the document and authority requirements, coordinate drafting and identify which local acts may be delegated. Overseas execution, authentication and Indian stamping or registration requirements need to be planned for the particular instrument. Citizenship, residence, property category, banking and tax issues may need separate specialist advice. Do not assume that every property or transaction is permitted on the same terms.
08What are the stamp duty, registration charges and drafting fees?
Professional fees depend on the agreed work, document volume, title issues, revisions and completion assistance. Stamp duty and registration charges are separate official costs and depend on the instrument, valuation, property and applicable Tamil Nadu rules or concessions. Obtain a current calculation before execution rather than relying on an old online percentage or treating drafting fees as the total transaction cost.
09Can a release or settlement deed be used instead of a sale deed?
The instrument must match the actual rights and transaction. A sale, release of an existing interest, partition and settlement have different legal effects and charging rules. They are not interchangeable labels selected only to reduce cost. We first identify the parties’ existing interests, the consideration and the intended result, then assess the appropriate instrument.
10What happens after the deed is registered?
Check the registered document and schedule against the approved version, complete the agreed payment and possession steps, record the handover of originals and address remaining obligations. Revenue, municipal, association, utility or other record changes may require separate applications. Registration is an important completion step, but the transaction should also deliver what the parties agreed in practice.
11Can I draft my own sale deed?
You can prepare a draft, but a copied form cannot establish the seller’s title or decide the terms that protect your transaction. Have the complete document, schedule and supporting record reviewed before execution. Raise uncertain ownership, payment or possession terms while they can still be resolved, rather than expecting registration to correct them.
12What if the seller refuses to register after I have paid the advance?
Preserve the agreement, payment evidence, communications and any refusal or deadline. The appropriate response may involve enforcement of the agreement, recovery or other relief, depending on its terms, your performance and the facts. Specific performance is subject to statutory requirements; it is not automatic because an advance was paid. Limitation needs prompt assessment from the relevant performance date or refusal.
13Does an apartment purchase need different drafting?
The deed must accurately identify the apartment and the interests that accompany it, including the relevant land share and common rights. Compare the schedule with the title, development and apartment documents and applicable Tamil Nadu requirements. Parking, access, retained developer rights and completion obligations should not be left to a generic description of land.
14Who should witness the execution?
Plan the execution and registration requirements for the actual instrument, including the identities and roles of the persons signing or identifying the parties. Distinguish a party, an authorised agent, a witness and a person attending registration. Confirm the accepted requirements before the appointment rather than assuming that any accompanying person can perform every role.
15How long does the registered deed take to be released?
Release depends on the registration office’s process and whether valuation, document or other issues remain outstanding. Confirm the current status and collection requirements for the particular document. We do not promise a standard number of days; any assistance with collection and delivery should be included in the agreed professional scope.
